The deal involved technology and intellectual property assets associated with BIMDeX, a provider of interoperability solutions for computer-aided design (CAD), building information modelling (BIM) and engineering workflows.

Khaitan & Co's Advisory Team

The core team at Khaitan & Co comprised Monika Srivastava and Sanchit Agarwal, Partners, and Romit Kohli, Senior Associate. The transaction also received specialist support across several legal and regulatory areas.

  • Intellectual Property: Shailendra Bhandare
  • Privacy and Data Protection: Supratim Chakraborty

Legal Significance of the Transaction

The acquisition highlights the legal considerations involved in cross-border technology transactions, particularly the transfer of intellectual property and technology assets, employment arrangements, tax implications and data protection matters.

Such transactions require careful due diligence and coordination between international and local counsel to address applicable laws, contractual obligations and regulatory considerations in the relevant jurisdictions.

Impact on BIMDeX Customers

BIMDeX has stated that existing customer contracts, relationships and support remain with SrinSoft Inc. following the transaction. Customers should refer to official communications from BIMDeX or SrinSoft for any future changes to products, licences or support arrangements.
